Terms of Service
Last updated 11 October 2026
These terms are effective from 11 October 2026. They govern use of the Orishare API, dashboard, CLI, website, built-in AI assistant and MCP server (the “Service”) provided by Orishare LLC, a California limited liability company (“Orishare”, “we”). By creating or using an organization you accept these terms on behalf of that organization, and you confirm that you are at least 18, that you are using the Service for business purposes, and that you have authority to bind the organization. If an AI agent creates or operates an organization, the person or company running that agent is bound by these terms. Our Data Processing Terms form part of this agreement.
1. The Service
Orishare evaluates events you send against rules you configure and records the resulting points, tiers, rewards and notifications. You decide what to send, what the rules do and what your players are promised. We provide the engine, the records and the tools.
2. AI features
The built-in assistant and AI tools you connect (for example over MCP with an AI access key) can draft configuration and, within the permissions you grant, read data and operate your program, including actions that are billable. AI output can be wrong, so review what it proposes before you rely on it. You are responsible for every action taken with your keys and tokens, whether by people or by agents. AI never decides rewards at runtime: your rules do. We may change or withdraw AI features, or change the model providers behind them.
3. Accounts and keys
You are responsible for the people you invite, the keys you create and everything done with them. Keep secret keys on servers only. Tell us promptly at support@orishare.com if a key or token is exposed.
4. Acceptable use and your program
Do not use the Service unlawfully, to send data you have no right to process, to compromise its security, to interfere with the Service or other customers, or to reverse-engineer it beyond what the documented API offers. Test environments are for testing within the published limits.
Your program is yours, and so is making sure it is legal. That includes sweepstakes, lottery and gambling rules, loot-box and odds disclosures, consumer protection, gift-card and stored-value rules, app-store and platform rules, taxes on rewards, and consent and opt-outs for messages you send. You are responsible for funding and fulfilling rewards. Points, coins and balances in Orishare are records: we do not issue, hold or transmit money or stored value, and we do not guarantee that anything can be redeemed. Do not use the Service for real-money gambling or unlawful lotteries.
Before sending us children's personal data (under 13, or under 16 in the EU or UK), you must have a lawful basis and any required parental consent. Do not send special-category data (such as health, religion or biometrics) or payment card data.
5. Fees
Each organization gets 10,000 free live actions per UTC month, pooled across its projects and live environments. After that, actions cost $0.25 per 1,000 ($0.00025 each). An action is an accepted live event or a documented billable business command. Test environments are free within the published limits (25 test players per test environment and 100,000 test events per organization per month).
By adding a card you authorize us to charge it through our payment processor, Stripe, when accrued fees reach $5, after 90 days, or when you cancel billing, whichever comes first. Without a card, going past the free allowance starts a one-time grace period of 7 days or 10,000 extra actions, whichever comes first; those grace actions are free. After that, new billable live work pauses until you add a card. Taxes are added where required.
Usage fees are non-refundable except for billing errors or where the law requires otherwise. If you think a charge is wrong, email support@orishare.com within 30 days of the charge. Fees already accrued remain payable after cancellation.
6. Your data
Event data, player records and configuration belong to you. We process them only to provide the Service, as described in the privacy notice and the data processing terms. You can export and delete player data through the API at any time. Deleting a player redacts their attributes and events and removes their aliases; pseudonymous ledger entries are kept so balances and financial history stay correct.
7. Licence and ownership
While this agreement is in force we give you a non-exclusive, non-transferable right to use the Service. We keep all rights in the Service, documentation and SDKs. If you send us feedback or suggestions, we may use them freely.
8. Availability and support
We aim for high availability but do not promise the Service will be uninterrupted or error-free. No service level is offered unless agreed in a separate written contract. Neither party is responsible for delays or failures caused by events beyond its reasonable control. Support is by email at support@orishare.com.
9. Changes
We may improve the Service continuously. Breaking API changes are announced at least 90 days in advance with a migration path. We announce price changes at least 30 days before they apply to you. We email organization owners at least 30 days before material changes to these terms take effect; changes required by law or for security may apply sooner. If you do not agree, you may close your organization before the change applies; continuing to use the Service after that means you accept it.
10. Termination
You may close your organization at any time by asking at support@orishare.com. Cancelling billing does not by itself close or delete your organization. We may suspend accounts that violate these terms or fail to pay; we give notice and a reasonable chance to fix the problem first, unless immediate action is needed for security or legal reasons. After closure you have 30 days to export your data; we then delete or anonymize it as described in the privacy notice.
11. Warranties and liability
To the extent permitted by law, the Service is provided “as is” and “as available”, without implied warranties of merchantability, fitness for a particular purpose or non-infringement.
Neither party is liable for indirect, consequential, special or punitive losses, or for lost profits. Each party's total liability is limited to the greater of US$100 and the fees you paid in the twelve months before the claim. These limits do not reduce your obligation to pay fees, and do not apply to fraud, wilful misconduct, gross negligence or liability that the law does not allow to be limited.
12. Indemnity
You will defend and compensate Orishare against third-party claims arising from your program, your content and data, what you promise your players, or your breach of these terms. We will defend and compensate you against third-party claims that the Service, as we provide it, infringes a United States intellectual property right. The party seeking protection must tell the other promptly and let it control the defence.
13. Governing law
These terms are governed by the laws of the State of California; disputes go to the state and federal courts located in California, unless mandatory consumer law says otherwise.
